SmartGig terms of service

1. Agreement to these terms

These Terms of Service govern access to and use of SmartGig, including smartgig.co.uk, the SmartGig platform, and related public portals or mobile tools.

SmartGig is operated by Positive Climb LTD. In these terms, "SmartGig", "we", "us", and "our" mean Positive Climb LTD, and "you" means the organisation or person using the service.

By creating an account, starting a trial, subscribing, accepting an invitation, or using the service, you agree to these terms. If you use SmartGig on behalf of an organisation, you confirm that you have authority to bind that organisation.

2. The service

SmartGig provides software for event organisers to manage event administration, including applications, participants, tickets, compliance, payments, documents, communications, stage schedules, transport plans, site plans, and event-day check-in.

We may improve, change, add, or remove features over time. We will avoid making material changes that remove core paid functionality without reasonable notice unless we need to act for security, legal, operational, or misuse-prevention reasons.

3. Accounts and access

You must provide accurate account and organisation information and keep it up to date. You are responsible for keeping login details secure, managing users in your workspace, and ensuring that only authorised people can access your account.

You are responsible for all activity under your account unless the activity was caused by our failure to meet our own security obligations. Tell us promptly if you suspect unauthorised access.

  • Do not share personal login credentials.
  • Use appropriate roles and permissions for your team.
  • Remove access for users who no longer need it.
  • Keep billing, contact, and organisation details current.

4. Customer data

You retain ownership of the data, files, and content you or your users enter into SmartGig. You grant us the rights needed to host, process, transmit, back up, secure, and display that data so we can provide and support the service.

You are responsible for the legality, accuracy, quality, and permissions for the data you collect or upload through SmartGig, including participant, trader, performer, attendee, staff, supplier, and event data.

Our privacy policy explains how we handle personal data. Where we process event participant data on behalf of an organiser, the organiser is usually responsible for deciding what data is collected and how it is used.

5. Trials, subscriptions, and billing

New accounts may receive a 14-day free trial unless we state otherwise. Trial access can be limited, changed, or withdrawn where needed to prevent misuse or protect the service.

Paid access is charged according to the plan, modules, usage, billing cycle, and prices shown when you subscribe or change plan. Subscriptions renew automatically unless cancelled before the next renewal date.

You can cancel from account settings where self-service cancellation is available, or by contacting us. Cancellation takes effect at the end of the current paid billing period unless we agree otherwise. Fees already paid are non-refundable except where required by law or expressly stated in writing.

6. Payments and third-party services

SmartGig may connect with third-party services such as payment processors, email providers, SMS providers, hosting providers, storage providers, map services, app stores, and operational integrations. Their own terms and policies may also apply.

Stripe and other payment providers process payment details. We do not store full card numbers. If you use SmartGig to collect event payments, you are responsible for your pricing, tax treatment, refund policy, customer communications, and compliance with payment provider rules.

7. Acceptable use

You must use SmartGig lawfully and responsibly. You must not use the service in a way that harms SmartGig, other users, third parties, or the integrity of the platform.

  • Do not upload malware, malicious files, spam, or unlawful content.
  • Do not attempt to bypass security, rate limits, billing, permissions, or access controls.
  • Do not access, test, scrape, copy, or interfere with systems you are not authorised to use.
  • Do not use SmartGig to infringe intellectual property, privacy, data protection, consumer protection, or other rights.
  • Do not resell, sublicense, white-label, or provide SmartGig access to third parties unless we have agreed this in writing.

8. Availability, support, and changes

We aim to provide a reliable service, but we do not guarantee uninterrupted availability. Maintenance, incidents, third-party outages, internet disruption, security issues, or events outside our reasonable control may affect access.

We may provide support by email, in-product help, documentation, or other channels we make available. Support does not include custom development, event operations consultancy, data correction, or third-party service administration unless agreed separately.

9. Intellectual property

SmartGig, including the software, design, product processes, documentation, branding, and underlying technology, is owned by us or our licensors. These terms do not transfer ownership of SmartGig to you.

During an active trial or paid subscription, we grant you a limited, non-exclusive, non-transferable right to use SmartGig for your internal event operations in accordance with these terms.

10. Security and confidentiality

We use technical and organisational measures designed to protect the service and customer data. You are responsible for using the security controls available to you, including appropriate permissions, strong passwords, and two-factor authentication where available.

Each party must protect confidential information received from the other and use it only for purposes connected with providing or using SmartGig, unless disclosure is required by law or the information is already public through no fault of the receiving party.

11. Suspension and termination

We may suspend or restrict access if payment is overdue, your trial has expired, you breach these terms, your use creates security or operational risk, or we need to comply with law or provider requirements.

You may stop using SmartGig at any time. After cancellation or termination, access may continue until the end of the current billing period unless suspended for breach, security, legal, or misuse reasons.

You should export any data you need before your account closes. We may delete or anonymise closed-account data after the retention period described in our privacy policy, unless we need to keep it for legal, accounting, security, backup, or dispute-resolution reasons.

12. Liability

Nothing in these terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

To the fullest extent permitted by law, SmartGig is provided without warranties that it will meet every requirement, be uninterrupted, or be suitable as the only source of operational, legal, financial, safety, or compliance decision-making.

To the fullest extent permitted by law, we are not liable for indirect, consequential, special, incidental, punitive, or loss-of-profit damages. Our total liability arising out of or relating to the service is limited to the fees paid by you for SmartGig in the 12 months before the event giving rise to the claim.

13. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising out of or relating to these terms or the service, except where applicable law requires otherwise.

14. Changes to these terms

We may update these terms from time to time. We will update the date on this page and, where changes are material, provide reasonable notice by email, in-product notice, or another appropriate method.

Continuing to use SmartGig after updated terms take effect means you accept the updated terms. If you do not agree to updated terms, you should stop using SmartGig and cancel any paid subscription before the next renewal date.
